Description of the mission

Role Summary

This role leads our regionally based entity management team, which ensures our corporate entities are run in accordance with statutory requirements and best practice governance standards. The selected candidate needs to display a balance between leadership, including managing a team and service providers, and delivery, including the high quality company secretarial work. This role is based at our corporate headquarters in Singapore.

How You Will Make an Impact

  • Accountable for overall good governance and statutory compliance of the company’s entities in accordance with, but not limited to, internal policies, JV/shareholder agreements and external regulations
  • Act as the company secretary for Singapore-based companies, managing related aspects of commercial transactions, as well as minutes and drafting ad-hoc resolutions
  • Provide end-to-end management and oversight to the company’s growing portfolio of entities across multiple jurisdictions in Asia, which consists of operating, investment, and project companies
  • Lead the setup process of new entities, being responsible for time, cost, and quality. Setup includes:
  • Coordination with internal and external stakeholders, including service providers where applicable
  • Coordination of capital structuring
  • Bank account setup
  • Any other permits related to core business operations
  • Responsible for management of all entity-related external service providers, including oversight of delivery time, quality and cost, annual performance reviews, and selection of new vendors
  • Be the main point of contact for certain business units/jurisdictions and take the lead on requests from and transactions involving the entities for which you are responsible
  • Ensure entities are managed in accordance with shareholder agreements and/or the constitution
  • Supervise a project associate to complete entity management tasks and administration
  • Coordinate training for Directors and Key Officers across all countries using internal and external resources
  • Devise policies and procedures and ensure they are kept up to date
  • Contribute to meeting discussions, and when required advise members of the legal, accounting and tax departments of the implications of proposed legal entity related policies, in relation to company secretarial practice, corporate governance, Singapore company law and internal policies
  • Monitor changes in relevant legislation and the regulatory environment and recommend appropriate action.
  • Liaise with external regulators and advisers, such as lawyers and auditors.
  • Manage and/or execute corporate projects, special initiatives and ad-hoc assignments.

Profile

What Makes You a Great Fit

  • Chartered Secretary qualification with SAICSA
  • Excellent project manager with ability to take accountability
  • Good knowledge and practical application of company law, company secretarial/corporate governance knowledge and corporate administration experience gained in a similar, fast-paced environment
  • Structured, multi-disciplinary problem solver
  • Entrepreneurial, as you will be entrusted with creating a new department
  • 8+ years setting up and running complex entity structures, ideally in a project / infrastructure-based environment
  • Ability to work well under pressure, multi-task, meet deadlines and adopt a pragmatic approach
  • Drive, passion and a good team ethic, with a can-do attitude, whilst being down to earth, considerate and comfortable to work autonomously
  • Experienced leading a team
