Modern Energy Management (MEM), a member of the Kairos Renewables group which is in the business of developing and investing in wind, solar, and battery renewable energy projects in Southeast Asia, is seeking to hire a highly experienced and skilled Legal Counsel to join our dynamic team in Manila, Philippines.

The Legal Counsel will be part of the Legal team and report directly to the General Counsel. This is a new position created to support the Group’s rapid growth and expansion.

Key Responsibilities

As Legal Counsel, you will, among other things:

  • Provide timely and strategic legal advice to management and key stakeholders on a broad range of legal matters, including regulatory compliance, commercial contracts, corporate governance, intellectual property and employment law.
  • Act as project counsel in relation to our projects in the Philippines, which will primarily be in the wind energy, solar energy, and battery energy storage sectors, including reviewing, negotiating, amending, and providing legal advice with respect to land rights, project licensing and permitting, regulatory compliance, and contractor agreements.
  • Draft, review, and negotiate a variety of contracts and agreements, including but not limited to land rights agreements, project agreements (procurement, construction, offtake), joint venture and partnership agreements. You may also assist on financing agreements, M&A agreements, and other agreements in fields relevant to the Company’s business.
  • Manage and advise on corporate governance matters, including drafting corporate resolutions, maintaining corporate records, and ensuring compliance with corporate policies and procedures, and acting as corporate secretary for Kairos Group companies in the Philippines.
  • Conduct legal research and analysis on complex legal issues and provide clear and concise recommendations to mitigate risk and achieve business objectives.
  • Stay informed of relevant legal developments, trends, and best practices to ensure compliance with applicable laws and regulations.
  • Collaborate with cross-functional teams to identify legal risks and develop practical solutions to address legal challenges while supporting business objectives.
  • Manage outside counsel and other legal service providers, as needed, to efficiently and cost-effectively address legal matters.
  • Assist in the development and implementation of legal policies, procedures, and training programs to promote legal compliance and risk management across the organization.
  • As the team grows, provide training and guidance to junior Legal Team members, as needed.
Profile

Qualifications

Candidates would need to have the following qualifications:

  • Juris Doctor (JD) degree or equivalent degree from an accredited top-tier law school, and active membership in good standing with the Integrated Bar of the Philippines.
  • Minimum of 8-10 years of experience practicing law in the relevant fields, in a top-tier law firm or corporate or in-house legal environment as projects counsel.
  • Native or expert-level fluency in written and spoken legal English is essential.
  • Significant experience as projects counsel and managing Philippines corporate governance matters.
  • Strong understanding of commercial law, contract negotiation, and risk management principles.
  • Excellent analytical, problem-solving, and decision-making skills, with the ability to balance legal risks with business objectives.
  • Proactive problem-solving skills and the ability to exercise sound judgment and discretion.
  • Exceptional communication and interpersonal skills, with the ability to effectively communicate complex legal concepts to non-legal stakeholders and to interact professionally with individuals at all levels and from all backgrounds.
  • Ability to work independently and collaboratively with internationally based colleagues and reporting lines in a fast-paced environment, with a proactive and solution-oriented approach.
  • High level of integrity, professionalism, and discretion in handling confidential and sensitive information.
  • Excellent organizational skills and the ability to prioritize and manage multiple tasks effectively under tightdeadlines.
  • Experience working in an international office setting.
  • Strong attention to detail and accuracy in all work products.
  • Flexibility and eagerness to adapt to changing priorities and work independently or collaboratively within an enthusiastic team working together in a highly dynamic environment.

Candidates possessing the following skills / experience would be especially favorably considered:

  • Experience with wind energy projects, or renewable energy projects in general.
  • Experience with local Philippines tax law and related matters.
  • Experience with managing litigation in the Philippines and/or internationally, including arbitration.
  • Experience with local Philippines mergers and acquisitions.
  • Experience with transactions outside of the Philippines, particularly in the Southeast Asian Region.
  • Experience with international transactions and contractual documents, particularly using Singapore, Hong Kong, or English law.
