Modern Energy Management (MEM), a member of the Kairos Renewables group which is in the business of developing and investing in wind, solar, and battery renewable energy projects in Southeast Asia, is seeking to hire a highly experienced and skilled Legal Counsel to join our dynamic team in Manila, Philippines.
The Legal Counsel will be part of the Legal team and report directly to the General Counsel. This is a new position created to support the Group’s rapid growth and expansion.
Key Responsibilities
As Legal Counsel, you will, among other things:
- Provide timely and strategic legal advice to management and key stakeholders on a broad range of legal matters, including regulatory compliance, commercial contracts, corporate governance, intellectual property and employment law.
- Act as project counsel in relation to our projects in the Philippines, which will primarily be in the wind energy, solar energy, and battery energy storage sectors, including reviewing, negotiating, amending, and providing legal advice with respect to land rights, project licensing and permitting, regulatory compliance, and contractor agreements.
- Draft, review, and negotiate a variety of contracts and agreements, including but not limited to land rights agreements, project agreements (procurement, construction, offtake), joint venture and partnership agreements. You may also assist on financing agreements, M&A agreements, and other agreements in fields relevant to the Company’s business.
- Manage and advise on corporate governance matters, including drafting corporate resolutions, maintaining corporate records, and ensuring compliance with corporate policies and procedures, and acting as corporate secretary for Kairos Group companies in the Philippines.
- Conduct legal research and analysis on complex legal issues and provide clear and concise recommendations to mitigate risk and achieve business objectives.
- Stay informed of relevant legal developments, trends, and best practices to ensure compliance with applicable laws and regulations.
- Collaborate with cross-functional teams to identify legal risks and develop practical solutions to address legal challenges while supporting business objectives.
- Manage outside counsel and other legal service providers, as needed, to efficiently and cost-effectively address legal matters.
- Assist in the development and implementation of legal policies, procedures, and training programs to promote legal compliance and risk management across the organization.
- As the team grows, provide training and guidance to junior Legal Team members, as needed.
